Insights into PFRS 3 - Two new articles released

Background

This Accounting Alert is issued to circulate the next two articles related to PFRS 3.

PFRS 3 Business Combinations provides guidance on how an acquiring company should recognize and measure assets, liabilities, and any non-controlling interest when acquiring another entity.

The accounting for PFRS 3 remains challenging in practice due to its complexity, judgment-extensive requirement, and integration with other standards namely: PFRS 10 Consolidated Financial Statements, PAS 28 Investment in Associates, and PFRS 9 Financial instruments.

The increasing difficulty is also evident on the number of Interpretations and agenda decisions being issued by the IFRS Interpretations Committee (IFRIC) and Philippine Interpretations Committee (PIC). Professional competence and due care need to be applied in evaluating the requirements set out in the standard and other authoritative guidance.

The series summarizes the key areas of the Standard, highlighting aspects that are more difficult to interpret and revisiting the most relevant features that could impact businesses.

This article discusses the accounting when business combinations occur close to the reporting date. The article highlights the use of provisional amounts as it is not practical for the reporting entity to issue financial statements that cover the period when the combination occurs.

2. Insights into PFRS 3: Disclosures under PFRS 3

This article explains the general objectives of the disclosure requirements, the minimum required disclosures, and the disclosures applicable to most business combinations. The article emphasizes that the nature and extent of disclosures have a significant effect on a user’s ability to assess the effects of the acquisition on the consolidated financial statements.
