The Securities and Exchange Commission (SEC), in its Memorandum Circular (MC) No. 02, series of 2024 has set the deadlines for the filing and submission of the 2023 audited financial statements (AFS) and general information sheet of corporations through the Electronic Filing and Submission Tool (eFAST).

SEC integrates compliance requirements with eSPARC, OneSEC and eFAST
The Securities and Exchange Commission (SEC), in its Memorandum Circular (MC) No. 23, series of 2023, integrates certain compliance requirements from SEC MC No. 28, series of 2020 (MC 28) and SEC MC No. 1, series of 2021 (MC 1) with the SEC Electronic Simplified Processing of Application for Registration of Company (eSPARC), One-day Submission and E-registration of Companies (OneSEC) and the SEC Electronic Filing and Submission Tool (eFAST).

This Accounting Alert is issued to provide an overview of Philippine Financial Reporting Standards (PFRS) 3, Business Combination highlighting the aspects that are challenging to interpret and apply in practice. This includes the present guidance on PFRS' requirements for recognizing and measuring non-controlling interests (NCI), determining and measuring the amount of consideration transferred, and determining what is part of a business combination in cases where there are other transactions and arrangements between parties.
